Terms and Conditions – HWD Modular

These Terms and Conditions (“Terms”) govern all orders, manufacturing, supply, and installation of modular wardrobes, kitchens, storage units, and related interior solutions by HWD Modular (“Company”) for both B2B and B2C clients, with a primary focus on architects, interior designers, and project developers.

1. Scope of Work

  • HWD Modular undertakes the manufacturing and supply of modular furniture and complete home interiors as per the designs and technical drawings provided by the client or their appointed interior designer.
  • The Company may also hire or collaborate with third-party interior professionals for turnkey interior solutions.

2. Order Acceptance & Drawings

  • Orders are accepted only upon receipt of detailed technical drawings and specifications from the client.
  • Any changes to the project scope, design, or materials must be communicated and approved in writing by both parties.
  • Once accepted, bespoke or custom orders cannot be cancelled or altered except with written agreement, and may be subject to additional charges or restocking fees.

3. Bill of Quantities & Material Procurement

  • Upon receipt of designs, HWD Modular will generate a Bill of Quantities (BOQ) to detail scope and costing.
  • Materials may be procured by the client or by HWD Modular, as agreed. If client-supplied materials are used, the client is responsible for their suitability and quality.
  • Any surplus fittings or materials remain the property of HWD Modular unless otherwise agreed.

4. Manufacturing Process & Quality Assurance

  • All manufacturing is conducted in our factory using specialized machinery for cutting, edging, drilling, and finishing.
  • Manual processes are minimized; each department follows a digital checklist for quality control.
  • Assembly utilizes advanced mini-fix connectors; traditional nails or screws are not used in the structural assembly.
  • The Company reserves the right to make minor modifications in dimensions or finishes due to material or manufacturing constraints.

5. Delivery & Installation

  • Delivery and installation timelines will be specified in the order confirmation. Delays caused by factors beyond the Company’s control (e.g., force majeure, regulatory changes) will not be grounds for penalty.
  • The client is responsible for providing site access and a safe working environment during installation.

6. Payment Terms

  • Payment terms will be outlined in the quotation and order confirmation. Advance payments are required to initiate production, with further installments as per project milestones.
  • All payments are non-refundable once production has commenced, especially for bespoke orders.

7. Warranty & After-Sales

  • HWD Modular provides a warranty on manufacturing and installation workmanship, the duration of which will be specified in the order or warranty certificate.
  • The warranty does not cover damages due to misuse, improper maintenance, or unauthorized modifications.

8. Intellectual Property & Confidentiality

  • Clients warrant that their supplied designs and materials do not infringe any third-party intellectual property rights. The client indemnifies HWD Modular against any such claims.
  • All proprietary processes, checklists, and systems used by HWD Modular remain the intellectual property of the Company.

9. Limitation of Liability

  • All samples, images, and descriptions on the website or in marketing materials are indicative and do not form part of the contract.
  • HWD Modular’s liability is limited to the value of the goods or services supplied and does not extend to indirect or consequential losses.

10. Dispute Resolution

  • Any disputes arising from these Terms will be resolved amicably through negotiation or, if necessary, through mediation or arbitration as per applicable law.

By placing an order with HWD Modular, the client acknowledges and agrees to these Terms and Conditions. The Company reserves the right to update these Terms at any time without prior notice.
